1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MedsAi™ ("we," "us," or "our") concerning your access to and use of the MedsAi™ platform (the "Service").

By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our HIPAA Notice. If you do not agree to these terms, do not use the Service.

2. NO MEDICAL ADVICE

The Service is not a substitute for professional medical advice, diagnosis, or treatment. MedsAi™ does not provide medical services. The Service is a technology platform for you to communicate with your healthcare provider ("Clinician") and manage your care plan.

Always seek the advice of your Clinician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay seeking it because of information from the Service.

IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 (OR YOUR LOCAL EMERGENCY NUMBER) IMMEDIATELY.

3. Eligibility

You must be 18 years of age or older and a registered patient of a participating Clinician to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

4. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, non-commercial use in connection with your medical care, as directed by your Clinician.

5. Your Account and Responsibilities

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to notify us immediately of any unauthorized use of your account.

6. Patient Data & HIPAA

Your or your Clinician retain ownership of your Personal Data and Protected Health Information (PHI). Use of your PHI is governed by our HIPAA Notice.

You grant MedsAi™ a limited, royalty-free license to use, process, and transmit your data solely to the extent necessary to provide the Service, fulfill our contractual obligations to your Clinician, and as described in our policy documents.

We may suspend or terminate your access to the Service at any time, with or without cause, including if you violate these Terms. Your Clinician may also direct us to terminate your account. You may stop using the Service at any time by contacting your Clinician.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MEDSAI™, ITS AFFILIATES, OR THEIR LICENSORS OR SERVICE PROVIDERS, BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF FORESEEABLE.

You agree to defend, indemnify, and hold harmless MedsAi™ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and costs (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Service in a manner not authorized by these Terms.

12. Dispute Resolution (Binding Arbitration)

This section contains a binding arbitration clause and class action waiver. Please read it carefully.

You and MedsAi™ agree to resolve any disputes arising from these Terms or the Service through final and binding arbitration, rather than in court. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

13. General Provisions

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement: These Terms, our Privacy Policy, and HIPAA Notice constitute the entire agreement between you and MedsAi™ regarding the Service.
